1. NAME

The Club shall be called Deepings Rugby Union Football Club.

2. OBJECTS

The objects of the Club shall be:-

2.1 The furtherance of Rugby Union Football, the encouragement of the playing of the game and the promotion of social intercourse among persons interested in it and other recreational activities.

2.2 The provision and maintenance of club premises at Linchfield Road, Deeping St. James or such other place as the Club may from time to time decide.

3. CLUB COLOURS

All players playing for the Club in any of its teams shall wear the Club Colours, that is to say: - Yellow, Black and Green jersey & stockings black shorts.

4. MEMBERSHIP OF THE CLUB

4.1 The Committee shall be empowered to elect members to the Club and there shall be: -
 Senior Playing members (defined as players aged 18 years and over) **
 Junior Playing members (defined as players aged 12 and under 18 years or receiving full time education beyond the age of 18)
 Mini Playing members (defined as players under 12 years of age)
 Junior/Mini Family members (defined as group membership extended to Non-playing parents/guardians of Junior and/or Mini Playing members and all their children under 18 years)
 Vice Presidents (Defined as Non-playing members aged 18 years and over) **
 Honorary Life members **
 Honorary members (Defined as the spouse of a member or person invited by the Committee for the benefit of the Club)
 Temporary members (Defined as in section 7.)

Classes marked ** are deemed "Full" members - see sections 4.5 and 8.

4.2 All classes of membership shall be joint, in as much as the spouse/partner of the person to whom membership is granted shall be an honorary member of the Club also.

4.3 Every candidate for membership must be proposed and seconded by existing members of the Club. The candidate's full name, address and occupation and the names of the proposer and seconder shall be communicated in writing to the Honorary Secretary, who shall prominently exhibit these particulars in the clubhouse in a part frequented by the members for a period of at least three days before his/her election as a member as in Section 5. Until the candidate is elected as a member, he/she shall not be entitled to any of the privileges of the Club.

4.4 Honorary members, members under the age of 18 years, Family members and Temporary members shall have no right to notice of General Meetings or to vote on any matter thereat. They may be present at such a meeting and may be invited to speak at the sole discretion of the Chairman.

4.5 The holder of any Executive or Non-executive office of the Club, as in paragraph 8 below, and any person providing coaching/training, or assisting therewith, at the Club, at any age group (with the exception of external coaches invited from time to time at the discretion of the Committee), must be a fully paid-up, Full member of the Club in one of the following categories:-
 Senior Playing member
 Vice President
 Honorary Life member

4.6 Office holders and coaches must agree to undergo, and facilitate the speedy completion of, relevant Child Protection procedures and Criminal Record Bureaux checks as may from time to time be specified by The Rugby Football Union, other regulatory bodies and the Executive Committee.

5. ELECTION OF MEMBERS

The Committee shall consider all applications for membership as provided in Section 4.3 either at regular Committee Meetings or ad-hoc when advised by the Honorary Secretary . At its sole discretion, the Committee shall elect candidates for membership by a simple majority vote of those Committee Members present, provided the meeting is quorate as in Section 8.4. The decision of the Committee is final.

6. EXPULSION OF MEMBERS

The Committee shall have the power to expel any member who shall offend against the rules of the Club or whose conduct shall in the opinion of the Committee render him/her unfit for membership of the Club. Before any such member is expelled the Honorary Secretary shall give him/her seven days written notices to attend a meeting of the Committee and shall inform him/her of complaints made against him/her. No member shall be expelled without first having the opportunity of appearing before the Committee and answering complaints made against him/her and unless at least two thirds of Committee then present vote in favour of his/her expulsion. The decision of the Committee is final.

7. TEMPORARY MEMBERS

The Committee shall be empowered to elect temporary members of the Club on such terms and at such subscriptions as it shall by resolution decide, but no such members shall be elected or re-elected for a period that shall exceed in all one month and rule 4 shall apply to the election of such members. The numbers of temporary members shall at no time exceed one tenth membership of the Club (excluding such temporary members). No person shall be elected to temporary membership unless he/she is precluded by distance or other circumstances from making full use of the privileges of membership or is a potential new recruit as in paragraph 9.

8. MANAGEMENT

8.1 Executive Committee
The management of the Club shall be entrusted to an Executive Committee consisting of: -
 Chairman
 Vice Chairman
 Honorary Secretary
 Honorary Treasurer,
 Club Captain,
 Social Secretary,
 Rugby Development Officer
 Clubhouse Development Officer
all of whom shall be elected annually at the Annual General Meeting - see section 4.5.
All incumbent members of the Executive Committee shall be eligible for re-election.

8.2 Additional, Non-executive Committee Members
Non-executive Committee roles (for example): -
 Fixture Secretary
 Publicity Secretary
 Regalia Secretary
 Mini/Junior Representative
 Girls Representative
 Sponsorship Secretary
 Welfare Officer
 Club Coach
 And others as may from time to time be determined by the Committee
shall be filled by co-opted members at the discretion of the Executive Committee.

The Club shall have a Non-executive President who will be elected when the existing incumbent decides to stand down.
The Captains of the Senior Playing sides will be elected annually at a Players' Meeting convened for that purpose to be held in April each year.
Non-executive committee members may attend and speak at Committee meetings with the agreement of the Chairman but are not entitled to vote.

8.3 Casual Vacancies

The Committee shall have the power at any time and from time to time to fill any casual vacancy among the officers and the Committee. Any officer or member of the Committee so appointed shall hold office only until the next following Annual General Meeting but shall then be eligible for re-election

8.4 Committee Meetings
The Committee shall meet once in every month during the rugby-playing season and at such times as the Committee shall determine.

At all meetings of the Committee, four Executive Committee Members shall form a quorum.

9. SUBSCRIPTIONS

The annual subscription for each class of membership as in section 4.1 shall be such sum that shall be decided from time to time at a General Meeting of the Club. Subscriptions shall be due on the 1st September in each year without demand. Such Subscriptions shall be deemed to be a debt due to the Honorary Treasurer for the time being.

The Committee, at its sole discretion, shall be empowered to vary downwards the agreed subscription rates, on a case-by-case basis, to account for hardship, new recruits joining the Club part-way through the season or other circumstances as the Committee may see fit.

If a player's subscription remains unpaid after 1st October, that player will not be eligible for selection to any of the Club's teams and may not attend further training sessions.

New recruits to the Club shall be entitled to play up to three games for the Club (subject to any relevant RFU registration procedures) and/or attend up to three organised training sessions as a Temporary member before subscriptions become due. After that time, full membership must be taken out before selection for any team or further attendance at training sessions.

10. SUBSCRIPTIONS IN ARREARS

If any member shall fail to pay his/her subscription within fourteen days of when it has become due and the Honorary Treasurer sends him/her a notice in writing to his/her address as recorded in the books of the Club calling on him/her to pay the subscription within seven days, then, if he/she shall fail so to pay, the Committee shall be entitled to terminate his/her membership without further notice.

11. PURCHASE AND SUPPLY OF LIQUOR

The purchase for the Club and the supply by the Club of intoxicating liquor shall be in the absolute discretion of the sub-committee of not less than five members of the Committee being appointed for that purpose. In the event of any member for any reason ceasing to be a member of the Committee, he/she shall automatically cease to be a member of such sub-committee. Another of the Committee shall be appointed in his/her place. Such sub-committee shall in no way be restricted in freedom of purchase

12. COMMISSION

No person shall at any time be entitled to receive at the expense of the Club any commission percentage or similar payment on or with reference to the purchase of intoxicating liquor by the Club: nor shall any person directly or indirectly derive any pecuniary benefit from the supply of any intoxicating liquor or on behalf of the Club to members or guests apart from any benefit accruing to the Club as a whole and apart also from any benefit which a person derives indirectly by reason of the supply giving rise to or contributing to a general gain from the carrying on of the Club.

13. SALE OF INTOXICATING LIQUOR

No intoxicating liquor shall be sold by or on behalf of the Club to any person or for the consumption by any person who is under the age of eighteen years (whether or not that person be a member).

There may be admitted to the Clubs registered premises persons other than members and their guests who are members of visiting sports teams and their supporters or who are officials involved in games concerning the Club and, subject to conditions attached to the registrations certificate for the Club premises. Intoxicating liquor may be sold to such persons by and on behalf of the Club for the consumption on the premises and not elsewhere

The Club premises may be made available to persons who are not members of the Club for fund raising and/or social purposes and those persons may be sold alcohol for consumption on the premises under the previsions of relevant Licensing Acts as may be applicable at the time. The number of occasions on which the premises be are made available shall not exceed 12 in one calendar year commencing on 1st January until 31stDecember. A record of each occasion shall be made in the relevant record of the Club by the Secretary or other person so authorised and each such occasion will be notified to the Clerk of the Licensing Authority and the relevant Officer of Police for the district seven clear days prior to the particular event being held.

14. APPLICATION OF PROFIT

The income and property of the Club shall be applied solely towards promoting the Club's objectives as set forth in this constitution and no portion thereof shall be paid or transferred, directly or indirectly, to the Members of the Club

In the event of the Club ceasing to exist, all remaining assets and funds, after the payment of all legally enforceable charges, will be donated to The Rugby Football Union for the benefit of Junior Rugby as a whole.

15. EMPLOYMENT OF STAFF

The Committee shall be empowered to employ on behalf of the Club such staff as it may consider necessary to facilitate the commercial running of the clubhouse premises and bar and the cleaning of the clubhouse premises or any other function as agreed by the Committee. Appropriate salaries will be agreed by the Committee and administered by the Honorary Treasurer in accordance with relevant employment and tax regulations.

16. ACCOUNTS

Full accounts of the financial affairs of the Club duly audited by the auditors shall be made available to every member at the Additional General Meeting convened for that purpose as in paragraph 16.2 below.

17. GENERAL MEETINGS

17.1 Annual General Meeting
An Annual General Meeting of the Club shall be held in the month of May in each year and fifteen months shall not elapse without a General Meeting. At the Annual General Meeting the following business shall be conducted: -
 The presentation of the report by the Chairman.
 The election of officers of the Executive Committee.
 The election of the auditors.
 Such other business as shall have been communicated to the Honorary Secretary and included in the notice of the meeting sent by him/her to the members.

17.2 Additional General Meeting
An Additional General Meeting will be called by the last Friday in June each year for the Honorary Treasurer to present for acceptance the audited accounts for the Financial Year ended on the 30th day of April prior to the meeting.

17.3 Extraordinary General Meetings
An Extraordinary General Meeting may be convened at any time and shall be convened within twenty one days on the requisition of one fifth of the Committee or on the requisition of one fifth of the members for the time being or ten members whichever is the lesser. Such requisition must state the purpose for which the meeting is required.

17.4 Notice of General Meetings
The Honorary Secretary shall at least fourteen days before any general meeting send to every member at his/her address as recorded in the Club books or post in a conspicuous place in the Club premises a notice of the meeting stating the time when and the place where it will be held and the business to be conducted.

17.5 Business at General Meetings
The business at a General Meeting shall be limited to that provided by the rules and those further matters set out in the notice convening the meeting.

17.6 Quorum at General Meetings
The quorum at any General Meeting shall be fifteen Full members.
Should insufficient members be present by fifteen minutes after the time appointed for the meeting, the meeting will be adjourned and re-arranged at least 14 days later. Notice of such re-arrangement shall be given as in section 16.4 above.
At any such re-arranged General Meeting, the number of Full members present shall be deemed to be a quorum.

18. CHAIRMAN

The Chairman of the Club shall preside over all General Meetings of the Club and over all meetings of the Committee. If he/she shall not be present within fifteen minutes after the time appointed for the meeting or has signified his/her inability to be present at the meeting, the Committee members present shall choose one of their number to be Chairman of the meeting.

19. GUESTS

Any member shall be entitled to introduce guests to the Club provided that no person whose application for membership has been declined or who has been expelled from the Club shall be introduced as a guest. The member introducing the guest shall enter the name and address of the guest together with his/her own name in a book which shall be kept on the Club premises.

20. OPENING OF THE CLUB PREMISES

The Club premises shall be open to members daily between such hours as the Committee shall from time to time determine but the Committee may close them for such times as it may deem necessary for cleaning, repairs or any other purpose and the Committee shall have the power by resolution to extend these opening hours on any specified occasion.

21. PERMITTED HOURS

Normal permitted hours for the sale of intoxicating liquor shall be:-
 from 11.00 a.m. to 11.00 p.m. on weekdays and Saturdays
 from 12.00 noon to 11.00 p.m. on Sundays
 from 12.00 noon to 3.00p.m. and 7 p.m. to 9.00 p.m. on Christmas Day and Good Friday
except where varied by Committee approval and subject, when necessary, to application to the Licensing Authority

22. HIRE OF CLUBHOUSE

Subject to rule 13 the Committee shall have the power to allow the Club premises to be hired out throughout the year and be used for private functions subject to such regulations as the Committee shall make to regulate and control such use.

23. MODIFICATION OF RULES

No modification or addition to these rules shall be made except by resolution carried by a majority of at least two thirds of the members present and entitled to vote at the General Meeting notice of which shall have contained particulars of the proposed alteration or addition. The Honorary Secretary shall as soon as possible and in any case within twenty-eight days of the making of any such alteration or addition to these rules give written notice of such alteration or addition to the relevant Officer of Police and to the proper officer of the Local Authority of the district in which the Club is situated.

 
24. HEADINGS

The headings to these rules are for ease of reference only and shall not be taken into account in their interpretation.

25. EQUAL OPORTUNITY

Membership and all offices and responsibilities are open to all regardless of race, religion, ethnic origin, gender, age, etc., etc. (except where the rules of the Rugby Football Union may apply to the gender and age for the makeup of certain teams/groups for training and playing purposes)
